Workshop Overview

Serving on a nonprofit board of directors can be personally and professionally rewarding.  Most join a nonprofit board in order to advance a charitable mission but may be unaware of the duties and obligations of nonprofit board members. This session will discuss the advantages and challenges of nonprofit board membership. It will cover the fiduciary duties of nonprofit board members and best practices to implement to avoid breaches of these duties.  We will also present examples of failures of nonprofit boards and implement role-playing to better understand board dynamics.

Learning Objectives:

  • Understand how to evaluate whether board membership is right for you and what skills are necessary for effective board performance. You will learn what questions to ask when invited to join a nonprofit board.
  • Learn the fiduciary duties of nonprofit board members such as duty of care, duty of loyalty and duty of obedience and discuss what can lead to breaches of such duties.
  • The session will set forth the responsibilities of nonprofit board members and address the relationship between the board and chief executive of the organization.
  • We will discuss the resources available to nonprofit board members to assist them in performing their duties.

This workshop is part of the Women's Leadership Series: Women Empowering Women. The series was launched in October of 2018 to engage and empower public & nonprofit sector leaders throughout Northeast Ohio, while promoting the concept of gender representation at all levels of leadership. The theme – “Women Empowering Women” – hones in on the notion that women should support, empower, and mentor one another. The series’ programming is strategically designed to capitalize on this theme of empowerment within sectors where political pressures are at play, resources remain tight, and the competition to rise to executive leadership endures.

Instructor Bio

Stacey McKinleyStacey L. McKinley, Esq. serves as Director of Gift Planning in the Cleveland Clinic’s Philanthropy Institute where she assists donors who give to Cleveland Clinic through their estates or complex giving vehicles.

In addition, she is an adjunct professor at the Cleveland-Marshall College of Law where she teaches Nonprofit Corporations.  Stacey has also held the positions of Director of Planned Giving at Cleveland State University and Associate Director of Gift Planning at the Cleveland Clinic.

Prior to entering the development field, Stacey worked at three Cleveland law firms – Jones Day, Kahn Kleinman, and Ulmer & Berne  - where her legal practice focused on finance, real estate, business and nonprofit law.  Prior to law school, Stacey worked in broadcast journalism including five years as co-host of “Good Morning, Kentucky” in Lexington, Kentucky. Stacey is a 2019 inductee of the Cleveland-Marshall College of Law Hall of Fame.

Tuition for this workshop is $120.

  • 50% scholarships are available for the first 20 participants who register. Scholarships are funded by the Wenk Family Charitable Foundation. 
  • Participants must attend both sessions.

Refund Policy

Refund to original payment is made at 100% when a registrant cancels attendance at least two business-days prior to the start of the first class. Alternatively, the registrant can choose to transfer paid tuition to a later, equivalent course of their choosing within the same college or school at no additional cost when giving a two business-day cancellation notice. Cancellation Policy 

Cleveland State University reserves the right to cancel a workshop and refund the workshop fee in the event that there are an insufficient number of registrants.
