MISSION STATEMENT:
The Cleveland State University Alumni Association supports the mission and vision of the University by facilitating opportunities that connect its students, graduates, and the community through networking, volunteer, and outreach activities.

NATURE, OBJECT AND PURPOSE:
The Cleveland State University Alumni Association is a not-for-profit 501©3 organization. It was incorporated September 1, 1955 as the Fenn Alumni Association and, after the change from Fenn College to Cleveland State University in 1964, is on file in the Attorney General’s Office as the Cleveland State University Alumni Association.
The Association shall represent the members of The Cleveland State University Alumni Association in organized activities and relationships with the University. The Association shall have one governing body financed by the alumni and the University. It shall be the accredited medium for the consideration, determination and transaction of matters pertaining to members and their constituent organizations in their relations with the University,
The objects and purposes of the Association are:
There shall be at least fifteen (15) Directors of the CSUAA elected from the general Membership, at least five (5) of whom shall be elected each year; and one (1) Director elected by and to represent each Alumni Chapter.
Section 3.2 – Term of Office - A term of office shall be three (3) years. A Director may serve no more than two (2) consecutive terms but may be re-elected as a Director after one year off the CSUAA Board.If a Director is elected an Officer during a current term, she/he shall automatically cease status as a Director, the Officer position taking precedence. After serving the elected term(s) as an Officer, said individual shall return to the CSUAA Board in the status of a Director to complete the unexpired portion of their term as a Director. Directors will be officially sworn in at the Annual Meeting.
Section 3.3 – Duties and Qualifications. Directors shall serve on the CSUAA Board; act as counsel to the Officers of the CSUAA; and carry out their duties as set forth in the Statement of Expectations for CSUAA Board of Directors Members (Exhibit A).
The CSUAA Officers shall be President, Immediate Past President, President-elect, Secretary and Treasurer. All Officers shall be members of the CSUAA Board Executive Committee.
Term of Office. With the exception of the CSUAA Executive Director, Officers are elected to a two year term. Officers will be sworn in at the Annual Meeting.
Section 4.2 – Duties and Functions of OfficersA. The President shall preside at all meetings of the CSUAA and serve as Chair of the CSUAA Board. She or he shall preside at meetings of the Executive Committee and CSUAA Board, including the Annual Meeting; appoint all ad hoc CSUAA Board committees; serve as ex-officio member of each committee; and serve as an ex-officio member of the Cleveland State University Foundation’s Board of Directors.
